Please read these Terms carefully before you start to use the Platform. By using or subscribing for any part of the Platform, you indicate that you accept these Terms and agree to abide by them.
Welcome to the Terms & Conditions (these "Terms") for oxford-intelligence.com (the "Website"), the Oxford Market Intelligence application (the "App") and the Oxford Market Intelligence email service (the "Email Service") (collectively the "Platform") operated by Oxford Market Intelligence [LTD / legal entity] ("Oxford Market Intelligence", "we", "our" or "us"). We are registered in England and Wales under company number [COMPANY NUMBER], with our registered office at [REGISTERED ADDRESS].
In order to become a Customer ("Customer" or "you") of the Platform and to enjoy the service and features available on the Platform ("Oxford Market Intelligence Services"), you must read and accept all these Terms. If you do not agree to these Terms, please do not use the Platform. You may be asked to agree to additional terms and conditions if you register or sign up for any additional, alternative or enhanced services or products. These additional terms will be provided to you in advance of you deciding to register or sign up for the new product or service.
You must be 18 years of age or over to use the Platform and/or the Oxford Market Intelligence Services and to make any purchases. Use of the Platform requires a connection to the Internet and appropriate telecommunication infrastructure; we are not liable for any costs you may incur from such use.
The Platform may not be used in connection with any commercial endeavours except those specifically endorsed or approved by us. Illegal and/or unauthorised use of the Services is prohibited. Unauthorised commercial advertisements, affiliate links and other forms of solicitation may be removed from Customer accounts without notice and may result in termination of Customer privileges. You are prohibited from selling, trading or otherwise transferring your account to another party.
You will need to register to use the Platform by creating an account with us. If you choose to create an account, you agree to provide only accurate, complete registration information, and to keep that information up to date. When you register, you need to submit your name and a valid email address. You are solely responsible for maintaining the confidentiality of your account, log-in details and password, and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorised use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
Third party merchants (the "Merchants") may advertise goods and services on the Platform from time to time. We are not responsible for any goods or services supplied to you by a third party, including those advertised to you on the Platform. It is your sole responsibility to ensure that you are satisfied with the terms on which you engage with any applicable third party.
When you subscribe for a free section of the Platform (the "Free Version"), it is made available to you free of charge and on an "as is" basis. In particular, its functionality may not be as described; it may not be of satisfactory quality; it may contain defects; it may not be fit for any particular purpose; it may not meet your requirements; it may not be compatible with your hardware or software; and it may not be secure. If you have subscribed for the Free Version, we do not undertake to correct any defects, and, subject to the Consumer Rights Act 2015, we may remove any functionality without providing any reason or warning. You can upgrade from the Free Version to the Paid-for Version at any time.
When you subscribe for a paid-for section of the Platform (the "Paid-for Version"), we will use reasonable endeavours to notify you in advance of scheduled maintenance, but you acknowledge that you may receive no advance notification for downtime caused by emergency maintenance or events outside our reasonable control. We cannot guarantee that the Platform will always be available. The price of a Paid-for Version subscription will be the price stated on our website or on the relevant app store from time to time and will be communicated to you when you sign up. All prices listed on our website are exclusive of VAT and other applicable sales taxes. Unless you purchase via a third party app store (in which case that store's payment terms apply), we will take payment using the bank or card details you provide when you sign up.
You warrant that all information you provide on registration and contained as part of your account is true, complete and accurate, and that you will promptly inform us of any changes by updating your account. It is your responsibility to ensure that any services, content or information available through the Platform meet your specific requirements.
You agree to act in a responsible and legal manner when using the Services, to comply with all applicable laws, regulations and rules, and not to use the Services for any unlawful purpose or in a manner likely to cause harm, offence or nuisance to any other Internet user. You agree not to use the Platform to, among other things: post content that is offensive or promotes hatred or harm; post false, misleading, defamatory or unlawful content; impersonate any person or entity; use the Platform for any illegal purpose; transmit viruses or other harmful code; attempt to gain unauthorised access to the Platform or its servers; attack the Platform via denial-of-service; interfere with or disrupt the Services; or infringe the intellectual property or other rights of any third party.
We reserve the right to investigate and take appropriate legal action against anyone who, in our opinion, violates these provisions, including reporting you to law enforcement authorities. We reserve the right to remove or suspend any material posted which is, in our sole opinion, in breach of this clause, and we may terminate your registration for such breach.
Any personally identifiable information which we collect, use and process will be treated in accordance with our Privacy Policy.
Any material or content you transmit or post to the Platform shall be considered non-confidential and non-proprietary. By posting materials and/or information on the Platform, you grant us a worldwide, royalty-free, irrevocable, transferable licence to use such materials and information for any purpose in the course of providing the Platform or offering the Services. You represent and warrant that you own the materials you post or otherwise have the right to grant this licence, and that your posting does not violate the rights of any person.
You are permitted to print and download limited extracts from the Platform for your own personal use, provided that no documents or graphics are modified, graphics are not used separately from corresponding text, and our copyright and trade mark notices and this permission notice appear in all copies. You must not use, copy or reproduce any part of the materials on the Platform for commercial purposes or for use on any other digital platform without obtaining prior written consent from us or our licensors.
The Platform contains intellectual property which is the proprietary property of Oxford Market Intelligence ("Oxford Market Intelligence IP"). This includes, but is not limited to, copyrights, trade marks, information about technology, and other proprietary rights. We retain the rights to the Oxford Market Intelligence IP and reserve all rights in respect of the same. Subject to these Terms, we grant you a non-exclusive, non-transferable, limited, revocable and non-sublicensable right to access and use the Platform and the material displayed on it. No right, title or interest in any such materials will be granted or transferred to you as a result of any permitted use.
All materials incorporated in or accessible through the Platform are owned, controlled or licensed by us or by the original creators of such materials. Any use of such materials, including any copying, reproduction, modification, sale, distribution, extraction, re-use, transmission, republication, downloading, display, posting or performance by any means without our prior written permission is strictly prohibited.
You may cancel your subscription at any time by following the cancellation instructions set out in the App. If your subscription is for the Paid-for Version and you end the agreement, any payments already made to us are non-refundable (this includes any payment of discounted fees).
If your subscription is for the Free Version, we may terminate it, close your account and prevent your access without any liability to you at any time. If your subscription is for the Paid-for Version, we may terminate it with immediate effect by written notice if: you commit a material breach of these Terms and (if remediable) fail to remedy it within thirty (30) days of being notified; you are in breach of any applicable law; any amount due to us is outstanding for thirty (30) days following the due date; in our reasonable opinion the security or integrity of the Platform has been or may be compromised; termination is required by a regulatory authority; or you have, or we reasonably suspect you have, misused the Platform or Services.
Your attention is drawn to this section. Nothing in this clause affects our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation, nor any other liability which cannot be excluded or limited under applicable law.
Subject to the above, we are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment or software, or failure of any email due to technical problems or traffic congestion on the internet or on any of the Services. Access to the Platform may be suspended temporarily and without notice in the case of system failure, maintenance or repair, or for reasons beyond our control. Subject to the above, we are not legally responsible for: losses that were not foreseeable to us and you when the agreement was formed, or that were not caused by any breach on our part; business losses; and losses to non-consumers.
Oxford Market Intelligence is not regulated by the Financial Conduct Authority and does not offer any regulated services. The content, commentary and materials posted on the Platform are strictly for public information and distribution purposes only and are not intended to address your particular requirements. We disclaim all liability and responsibility arising from any reliance placed on commentary or materials by any user of this Platform, or by anyone who may be informed of any of its contents.
You understand and agree that the Services do not constitute any form of advice, recommendation, endorsement or arrangement. The information published on the Platform should not be interpreted as a recommendation for you to buy, sell, or hold any security, financial product or investment. The opinions expressed on the Platform do not constitute investment advice, and the Services do not provide tax, legal or investment advice or opinion regarding the suitability, value or profitability of any particular security, portfolio or investment strategy. Independent advice should be obtained before making any such decision from your financial adviser, tax adviser or solicitor.
In using the Services you acknowledge that: the Platform and the content displayed on it are provided for information purposes only and are not intended for trading purposes; the Platform may include certain information taken from stock exchanges and other sources from around the world; and you expressly agree that your use of the Services and the Platform is at your sole risk. Oxford Market Intelligence and its members, officers, directors, and employees (or a member of their household) may have positions in, or may buy or sell, any of the securities, derivative instruments or other investments mentioned or described in content, either as agent or principal for their own account.
The English courts will have non-exclusive jurisdiction over any claim arising in respect of, or related to, these Terms or the Platform. These Terms will be governed by and construed in accordance with the laws of England and Wales.
This Platform may contain links or references to other websites, provided for your convenience only. We have no control over third party websites and accept no responsibility for any content, material, information, intellectual property rights, accuracy or opinions expressed on such websites. Inclusion of any linked website does not imply approval or endorsement by us. When you access these third-party sites, you do so at your own risk, and your use may be governed by the terms and conditions of that third party site. This Platform may also contain third party content, made available strictly for public information purposes and not as advice; we and our third party content providers disclaim all liability arising from any reliance placed on such content.
You may link to the website homepage provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in any way that suggests any form of association, approval or endorsement on our part where none exists. You may not mirror, screen scrape or otherwise reproduce all or any part of the website on any other site. If you wish to make use of material on the Website other than as permitted by these Terms, please address your request to hello@oxford-intelligence.com.
Nothing in these Terms shall be deemed to confer any third-party rights or benefits. Should any part of these Terms be declared invalid or unenforceable by a court of competent jurisdiction, it shall be deemed to be deleted without affecting the remaining provisions. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
Unless you have opted for a Paid-for Version, we may revise these Terms at any time by amending this page, and both you and we will be legally bound by those changes after a period of 7 days unless you end your subscription within the 7 days of us notifying you. If you have subscribed for a paid-for subscription, the Terms in place at the date on which you subscribed will continue to govern the relationship between us unless a variation is agreed in writing. You may not assign, novate, sub-contract or otherwise transfer any part or all of these Terms without our prior written consent. Nothing in these Terms shall create a partnership, joint venture, agency or employment relationship between you and us. We shall not be liable for delay or failure to perform any of our obligations where and to the extent that such delay or failure results from any circumstances beyond our reasonable control.

Paid-for Version consumer users, please note
For UK based customers, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you a 14 day right to change your mind and get a full refund on the services you have paid for (the "cooling off period"). If you are based within the EU you may be entitled to equivalent rights under the law of the member state in which you are domiciled. You do not have this right to a full refund if you have started to receive the services within the 14 day cooling off period, provided you have been told this and have acknowledged it. Once we make the Services and Platform available for you to access, we consider you to have started to use our services and you cannot rely on your right to cancel and receive a refund. If you sign up for a free trial, the cooling off period will end 14 days after you start the trial.
To cancel, you can log into your Oxford Market Intelligence account at any time and cancel your subscription. The Consumer Rights Act 2015 says that paid-for digital content must be as described, fit for purpose and of satisfactory quality; if it is faulty, you are entitled to a repair or a replacement, and if the fault cannot be fixed within a reasonable time you can get some or all of your money back.
